Terms of Service

1. Introduction

Welcome to Geinforce Technology. These Terms of Service ("Terms") govern your access to and use of Geinforce Technology's website, applications, APIs, and computational tools (collectively, the "Services") provided by Geinforce Technology Private Limited ("Geinforce," "we," "our," or "us").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

Please read these Terms carefully, as they include important information about your legal rights and limitations on those rights, as well as provisions that govern how disputes between us will be resolved.

2. Definitions

• "Account" means a user account created to access and use the Services.
• "Content" means text, graphics, images, music, software, audio, video, information, or other materials.
• "Computational Results" means the outputs, analyses, reports, and visualizations generated by our Services based on User Data.
• "Documentation" means any user guides, help materials, or other documentation provided by Geinforce for use with the Services.
• "Fees" means the fees payable by you for access to and use of the Services according to your Subscription Plan.
• "Intellectual Property Rights" means all patent rights, copyright rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights, and other intellectual property rights.
• "Subscription Plan" means a subscription to access and use the Services, whether free or paid.
• "User Data" means any data, content, or information (including personal information) that you upload, submit, or otherwise transmit to or through the Services.

3. Account Registration

3.1 Account Creation

To use certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify Geinforce immediately if you become aware of any unauthorized use of your account or any other breach of security.

3.3 User Eligibility

The Services are available only to individuals who are at least 16 years old. By creating an account, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into these Terms.

3.4 Organizational Accounts

If you register an account on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not have such authority, you may not register an account on behalf of that organization.

4. Services

4.1 Service Description

Geinforce provides computational tools for drug discovery and development, including but not limited to:

• ForceADME: ADME property prediction for small molecules
• GeinDock Suite: Molecular docking and binding affinity prediction
• ForcePhrase: Natural language processing for scientific literature
• AI Detection: Identification of AI-generated content
• GeinBiopredictor: Bioactivity prediction against protein targets

4.2 Service Limitations

The Services are provided on an "as is" and "as available" basis. Geinforce makes no representations or warranties of any kind, express or implied, as to the operation of the Services or the information, content, materials, or products included in the Services.

4.3 Modifications to Services

Geinforce reserves the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. Geinforce will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Services.

4.4 API Usage

If you use our APIs, you are subject to any additional terms and conditions specific to the API, which will be provided to you separately. API usage is subject to rate limiting and other restrictions as specified in the API documentation.

5. Subscriptions and Payment

5.1 Subscription Plans

Geinforce offers various Subscription Plans, including free and paid options. Features and limitations of each Subscription Plan are detailed on our pricing page. By selecting a Subscription Plan, you agree to pay the applicable Fees as described.

5.2 Billing and Payment

For paid Subscription Plans, you agree to pay all Fees in accordance with the billing terms in effect at the time the Fee is due. You provide Geinforce with a valid payment method at the time you subscribe. Geinforce uses third-party payment processors to process payments; their use of your information is governed by their privacy policies.

5.3 Subscription Renewal

Paid Subscriptions automatically renew at the end of each billing period unless canceled prior to the renewal date. You authorize Geinforce to charge your payment method for the renewal subscription.

5.4 Refunds

Fees are non-refundable except as expressly provided in these Terms or as required by law. Geinforce may provide a prorated refund if you terminate your subscription for our material breach of these Terms.

5.5 Free Trials

Geinforce may offer free trials of paid Subscription Plans. Unless otherwise stated, free trials automatically convert to paid subscriptions at the end of the trial period unless canceled before the trial ends.

5.6 Taxes

All Fees are exclusive of taxes, which will be charged as applicable. You are responsible for paying all taxes associated with your use of the Services, except for taxes based on Geinforce's net income.

5.7 Price Changes

Geinforce reserves the right to change the Fees for any Subscription Plan at any time. Any price changes will take effect at the start of the next billing cycle. We will notify you of any price changes before they take effect.

6. Acceptable Use

6.1 Compliance with Laws

You agree to use the Services in compliance with all applicable laws, regulations, and industry standards. You shall not use the Services for any illegal purpose or in violation of any local, state, national, or international law.

6.2 Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using the Services to develop, design, manufacture, or produce weapons, illegal drugs, or other illegal substances or activities
• Copying, distributing, or disclosing any part of the Services in any medium
• Using any automated system to access the Services without our permission
• Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Services
• Uploading invalid data, viruses, worms, or other software agents through the Services
• Impersonating another person or otherwise misrepresenting your affiliation with a person or entity
• Collecting or harvesting any personally identifiable information from the Services
• Using the Services for any commercial solicitation purposes without our prior written consent
• Reverse engineering or attempting to extract the source code of the Services

6.3 Content Guidelines

You agree not to upload, post, or otherwise transmit through the Services any User Data that:

• Infringes any Intellectual Property Rights or other proprietary rights of any party
• Contains software viruses or any other computer code designed to interrupt, destroy, or limit the functionality of any computer software or hardware
• Is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
• Contains sensitive personal data without appropriate legal basis and safeguards

6.4 Service Limitations

Geinforce may impose reasonable limitations on your use of the Services, including but not limited to storage capacity, processing time, and API call frequency. These limitations will be specified in your Subscription Plan or communicated to you separately.

7. Intellectual Property

7.1 Ownership of the Services

The Services, including all content, features, functionality, and user interfaces, are owned by Geinforce and its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms do not grant you any rights to use Geinforce's logos, trademarks, service marks, or other branding without our prior written consent.

7.2 User Data

You retain all rights, title, and interest in and to your User Data. By uploading User Data to the Services, you grant Geinforce a worldwide, non-exclusive, royalty-free license to use, copy, store, transmit, and display your User Data solely to the extent necessary to provide and maintain the Services.

7.3 Computational Results

You own all Computational Results generated by the Services based on your User Data. However, Geinforce retains ownership of the underlying algorithms, models, and technologies used to generate those Computational Results.

7.4 Feedback

If you provide Geinforce with any feedback, suggestions, or ideas regarding the Services, you grant Geinforce a perpetual, irrevocable, non-exclusive, royalty-free license to use such feedback for any purpose, including to improve and enhance our Services.

7.5 Service Improvement

Unless you opt out in your account settings, you grant Geinforce the right to use anonymized and aggregated User Data and Computational Results for service improvement, including training machine learning models, research, and development.

8. Confidentiality

8.1 Confidential Information

During your use of the Services, you may disclose confidential information to Geinforce, and Geinforce may disclose confidential information to you. "Confidential Information" means any information disclosed by one party to the other that is marked as confidential or would reasonably be considered confidential under the circumstances.

8.2 Protection of Confidential Information

Each party agrees to (a) use the same degree of care to protect the confidentiality of the other party's Confidential Information that it uses to protect its own Confidential Information (but no less than reasonable care), (b) not use the other party's Confidential Information for any purpose outside the scope of these Terms, and (c) not disclose the other party's Confidential Information to any third party without prior written consent.

8.3 Exceptions

The obligations in Section 8.2 do not apply to information that (a) is or becomes generally available to the public through no fault of the receiving party, (b) was known to the receiving party prior to its disclosure by the disclosing party, (c) is received from a third party without a duty of confidentiality, or (d) is required to be disclosed by law or court order.

9. Warranty & Disclaimer

9.1 Limited Warranty

Geinforce warrants that the Services will perform materially in accordance with the applicable Documentation under normal use during the subscription period. If the Services do not perform as warranted, Geinforce will use commercially reasonable efforts to correct the non-conformity.

9.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. GEINFORCE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

GEINFORCE DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, OR THAT ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

GEINFORCE SPECIFICALLY DISCLAIMS ANY RESPONSIBILITY FOR ANY DECISIONS OR ACTIONS TAKEN BY YOU BASED ON THE COMPUTATIONAL RESULTS PROVIDED BY THE SERVICES. THE SERVICES ARE COMPUTATIONAL TOOLS TO ASSIST WITH DRUG DISCOVERY AND DEVELOPMENT AND SHOULD NOT BE USED AS THE SOLE BASIS FOR ANY SCIENTIFIC, MEDICAL, OR BUSINESS DECISION.

10. Limitation of Liability

10.1 Exclusion of Certain Damages

IN NO EVENT SHALL GEINFORCE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

10.2 Cap on Liability

IN NO EVENT SHALL GEINFORCE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO GEINFORCE DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100) IF YOU HAVE NOT PAID GEINFORCE ANY AMOUNTS DURING SUCH PERIOD.

10.3 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you to the extent prohibited by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Geinforce, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any use of the Services' content other than as expressly authorized in these Terms or your use of any information obtained from the Services.

12. Termination

12.1 Termination by You

You may terminate your account and these Terms at any time by canceling your subscription through your account settings or by contacting us at [email protected]. If you cancel a paid subscription, you will continue to have access to the Services until the end of your current billing period.

12.2 Termination by Geinforce

Geinforce may terminate or suspend your account and these Terms immediately, without prior notice or liability, for any reason, including if you breach any of the provisions of these Terms. Geinforce may also terminate or suspend your account if you have not accessed the Services for a consecutive period of twelve (12) months.

12.3 Effect of Termination

Upon termination of your account, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12.4 Data Retention after Termination

Upon termination, Geinforce will retain your User Data and Computational Results according to the data retention periods specified in our Privacy Policy. You may request a copy of your data by contacting us at [email protected] within 30 days of termination.

13. General

13.1 Governing Law

These Terms shall be governed by the laws of India, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

13.2 Dispute Resolution

Before filing a claim against Geinforce, you agree to attempt to resolve the dispute informally by contacting us at [email protected]. If a dispute is not resolved within 30 days of submission, either party may proceed with filing a formal claim.

13.3 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or additional terms and conditions or policies published by Geinforce on the Services, shall constitute the entire agreement between you and Geinforce concerning the Services.

13.4 Waiver and Severability

The failure of Geinforce to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

13.5 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Geinforce's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. Geinforce may assign or transfer these Terms, at its sole discretion, without restriction.

13.6 Force Majeure

Geinforce shall not be liable for any failure or delay in performance under these Terms arising out of causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, fire, flood, earthquake, epidemics, pandemics, strikes, telecommunications failure, or Internet service provider failure.

14. Changes to Terms

Geinforce reserves the right, at its sole discretion, to modify or replace these Terms at any time. Geinforce will notify you of any material changes by posting the updated Terms on this page with a new effective date, sending an email to the address associated with your account, or by a prominent notice on the Services. Your continued use of the Services after such modifications will constitute your acknowledgment of the modified Terms and agreement to abide and be bound by them.

If you do not agree to the new Terms, you must stop using the Services. Please review these Terms periodically for changes.
